Catalyst Circle Affiliate & Connector Agreement

This agreement is made between Kip Nominees Pty Ltd (ABN 74 163 458 535) trading as Catalyst Circle, (“Catalyst”, “we”, “our”) and the Affiliate/Connector (“you”, “your”) for participation in the Catalyst Circle Affiliate & Connector Program.
1. Purpose
This agreement outlines your role in promoting the Catalyst Circle network. We welcome aligned partners who will grow this movement with integrity, collaboration, and accountability.
2. Role & Responsibilities
As an approved Affiliate or Connector, you may:
Share your unique affiliate link to invite new members
Earn commissions on successful sign-ups
Attend workshops and access support materials
You agree to:
Represent Catalyst professionally and ethically
Promote only using approved tools and messages
Direct prospects to official sources (e.g. website or workshops) for accurate pricing and offer info
Avoid pressuring, poaching, or misrepresenting your relationship with Catalyst
3. Intellectual Property (IP)
Catalyst Circle is a proprietary system. All branding, visuals, session formats, credit models, frameworks, pitch structures, software, and training materials (“Catalyst IP”) remain the exclusive property of Catalyst Circle.
You may not:
Reproduce, white-label, reverse-engineer, or clone the Catalyst model
Register or use Catalyst’s name in business, domain, or social media handles
Share or redistribute Catalyst materials to external parties
IP Leakage by Affiliates or Former Connectors: Any attempt to replicate, teach, rebrand, or sell the Catalyst model—during or after participation—will be considered intellectual property misuse. This includes using the frameworks, pitch structures, or session formats in your own business, events, training, or under a different brand. Such misuse may result in legal review and appropriate remedies, including compensation for damages and permanent disqualification from future programs.
4. Commission Conditions
Commission = 10% of the membership fee (excluding GST)
Paid only after the member’s refund window closes and full payment has cleared
Recurs annually for up to 3 years, as long as the member renews and your account remains active
Commission applies only if the member signs up via your unique referral link
If referral link is not used, no commission will be paid
Commissions are earned only on approved Catalyst products and services
There is no cap on earnings
5. Refunds, Cancellations & Deductions
If a referred member cancels, commissions on unused portions may be retracted
If cancellation occurs within a payment plan, any outstanding fees may still be payable
Example: If a member cancels during a payemnt plan and has paid only 2 of 6 payments, the remaining balance is still due.
Requests for cancellation, opt-out, or pause must be made in writing via email to admin@catalystcircle.com.au
Commission offsets: If you have unpaid fees or invoices with Catalyst, we reserve the right to withhold or deduct from future commissions to cover the amount owing
Commissions are paid only after Catalyst receives cleared payment from the referred customer. If payment fails or is reversed, no commission will be issued
6. Affiliate Platform Access
Platform access is strictly for promoting Catalyst Circle
Access includes tracking tools, assets, and link management
You may not store, scrape, or share member data or use platform access for unrelated activities
Access is revoked if you leave the program, go inactive, or breach any agreement terms
7. Connector Conduct & Team Alignment
To maintain a collaborative and high-trust environment:
Uphold professional, respectful behaviour at all times
Avoid gossip, undermining team efforts, or disrupting others
Adhere to the Connector Conduct Guide, which outlines expectations for communication, integrity, and support
Bring concerns directly to admin for support or mediation if conflict arises
Follow fair and honest practices when interacting with prospective members, fellow connectors, and guests
Misleading promotions, dishonest claims, or competitive poaching will result in immediate review of your status
False or Misleading Affiliate Promotion: Any misrepresentation of our services, outcomes, pricing, or guarantees is grounds for termination.
8. Inactivity & Termination
2 consecutive months of inactivity without written approval may result in inactive status
3 months of inactivity may result in loss of Connector rights, unless you request in writing for an extended pause
Termination may occur for breach of terms, IP misuse, ethical concerns, reputational risk, or repeated conduct issues
Upon termination: access to all tools and benefits is removed, and commissions are frozen
If you are a Connector with outstanding balances, we reserve the right to apply your commissions toward those balances before issuing payouts
If the Connector Program is discontinued permanently, Catalyst will provide 30 days written notice. All valid commissions for referrals made prior to that date will be honoured within 60 days of program closure. Access to tools and portal will cease after closure date.
9. Confidentiality, Legal Indemnity & Non-Circumvention
You agree to:
Maintain confidentiality of any proprietary strategies, member data, tools, pricing structures, and internal discussions
Respect reminders given during onboarding and orientation
Understand that probationary connectors may receive limited access to internal materials
Not circumvent this agreement by replicating or rebranding any aspect of the Catalyst model, offers, or system
Accept that Catalyst commissions are not payable until client payment is cleared
Submit any request to cancel, pause, or opt out in writing to admin@catalystcircle.com.au
Not sue Catalyst Circle for delays in launch, member behavior, unpaid commissions due to failed payments, or dissatisfaction with member-led offers or results
Unregistered Financial Arrangement Risk: Catalyst’s credit model functions as a prepaid internal voucher system, similar to a tab at a catered event. Catalyst pays the pitcher in cash as a marketing disbursement, not a customer transaction. Offers are solely the responsibility of the pitching member.
Credit Structure Use: Credit can only be redeemed internally at Catalyst events. Members may not exchange credit for cash or use it for offers outside the Catalyst pitching space. Catalyst is not liable for fulfillment or disputes related to pitched offers. Catalyst Circle is not a party to member-to-member transactions.
Event-related Liability: All participants attend Catalyst events at their own risk. Catalyst holds no liability for injury, loss, or disputes that may arise in connection with these events.
10. Photography, Media, and Marketing Use
Photos and videos from Catalyst events may be used in our social media, promotions, or training materials
Notify us and avoid appearing in group photos if you wish not to be included
You may not film or record others without consent unless prior permission is given or crowd footage is clearly anonymous
Any marketing materials or pitch assets you provide may be used by Catalyst unless you opt out in writing
11. Dispute Resolution
Connector & Connector: Report to admin; mediation arranged if needed
Connector & Member: Encourage resolution directly; admin may step in if necessary
Connector & Host: Bring issues professionally to admin for collaborative resolution
All disputes governed by the laws of South Australia, Australia, unless otherwise required by local consumer laws in your jurisdiction

Respect Catalyst’s IP and operating principles
Stay active and engaged with program activities
