Terms & Conditions of Purchase

By purchasing or renewing a Catalyst Circle membership, submitting payment, or accessing membership benefits, you agree to these Terms & Conditions, which form a binding contract between you and Catalyst Circle.

Your participation in the community is also governed by the Catalyst Circle Members Agreement and—if applicable—the Connector Agreement. Together, these documents form the complete agreement between you and Catalyst Circle.

1. Definitions & Interpretation

In these Terms:

“Catalyst Circle”, “we”, “us” or “our” means Catalyst Circle Pty Ltd or the relevant operating entity listed on the Website.

“Member” or “you” means the individual or business purchasing or renewing a Catalyst Circle membership.

“Membership” means access to Catalyst Circle events, community platforms, content, credits, introductions, and related benefits as described on the Website at the time of purchase.

“Catalyst Credits” means the monthly credit benefit issued to eligible memberships that may be redeemed for approved member offers.

“Website” means https://catalystcircle.com.au and any related subdomains including member portals.

“Services” means the membership-based services and benefits provided by Catalyst Circle.

Headings are provided for convenience and do not affect interpretation.


2. Overview

Catalyst Circle memberships provide access to curated business events, brand-building opportunities, and a collaborative networking ecosystem as described on our Website at the time of purchase.

All prices are exclusive of GST and payable in Australian dollars.

Catalyst Circle reserves the right to accept, reject, suspend, or discontinue any membership application or renewal at its discretion.

Membership features, event formats, and platform tools may evolve over time to improve member experience. Reasonable changes to the delivery of services do not constitute grounds for refund.


3. Membership Types

Catalyst Circle may offer several membership structures including:

  • Annual Membership (12 months)

  • Half Year Membership (6 months)

  • Payment plans associated with these membership terms

Monthly payments represent a payment plan for a fixed membership term and do not constitute a casual or trial membership.

Members remain responsible for the full membership value unless cancelled in accordance with these Terms.


4. Activation Fee

A one-off activation fee of $220 may apply at the commencement of membership.

The activation fee covers onboarding, administrative setup, and access provisioning.

The activation fee is non-refundable once membership access or onboarding has commenced.


5. Nature of Membership & No Guaranteed Outcomes

Membership provides access to networking events, business visibility opportunities, and community platforms.

Catalyst Circle does not provide professional, financial, legal, or business advice.

Catalyst Circle does not guarantee referrals, leads, revenue, partnerships, or business growth outcomes.

Business outcomes depend on member engagement, member actions, and external factors beyond Catalyst Circle’s control.


6. Payment Terms

6.1 Payment Structure

Membership fees may be paid:

  • Annually in advance; or

  • Via an approved payment plan.

Payments are charged in advance for the applicable membership period.

Time is of the essence for all payment obligations.


6.2 Accepted Payment Methods

Payments may be made via:

  • Bank Transfer (EFT)

  • Stripe or other approved online gateway

  • PayPal

  • Approved manual instalment plans

Online transactions may incur a 2% processing fee.

Manual instalment plans may incur a 10% administration fee.

A $20 late payment fee may apply to overdue or failed instalments.


6.3 Defaults & Suspension

If payment remains unpaid 45 days after the due date, Catalyst Circle may:

  • suspend membership access

  • restrict event participation

  • suspend pitching opportunities

  • restrict platform access

  • terminate membership

All outstanding balances remain payable.

Catalyst Circle may recover reasonable administrative, legal, or debt-collection costs.


7. Refunds, Cancellations & Fees

7.1 Cancellation Notice

Members may cancel membership by providing 30 days written notice to:

7.2 Refund Eligibility

Full Year Membership

Refunds are available only within the first three (3) months of membership.

Refunds apply only to unused prepaid membership periods and are calculated on a pro-rata basis, less a 20% administration fee.

After the first three months, no refunds are available.


Half Year Membership

Refunds are available only within the first one (1) month of membership.

Refunds apply only to unused prepaid membership periods and are calculated on a pro-rata basis, less a 20% administration fee.

After the first month, no refunds are available.


7.3 Monthly Membership – Cancellation Fee

Where membership is paid via instalments and cancelled after the refund window:

A cancellation fee equal to 20% of the total membership value applies.

Previously paid instalments are non-refundable.


7.4 Payment Plans During Cancellation

If cancellation occurs while balances remain outstanding:

All unpaid balances become immediately due and payable.

Refund eligibility is assessed only after balances are settled.


7.5 Australian Consumer Law

Nothing in these Terms excludes or restricts rights under the Australian Consumer Law.


8. Pausing Membership

Members may request to pause membership for up to two (2) months within any 12-month period.

Pause requests must be submitted one month in advance.

During a pause:

  • event access is suspended

  • credits are not issued

  • membership privileges may be restricted.

Membership terms will extend by the length of the approved pause period.


9. Renewal

Members must confirm renewal at least 30 days prior to membership expiry.

Renewal fees are charged at the pricing applicable at the time of renewal.

Failure to renew may result in loss of placement, pitching opportunities, or directory listing.

Where automatic renewal applies, you authorise Catalyst Circle to charge the renewal fee using the payment method on file.


10. Event Credits & Reimbursements

Certain memberships include Catalyst Credits which may be redeemed toward approved offers presented by fellow members during Catalyst Circle events.

Credits are issued at a rate of one (1) per calendar month unless otherwise specified.

Credits:

  • are non-transferable

  • have no cash value

  • cannot be exchanged for cash or discounts

  • cannot be replaced or extended if unused.

Catalyst Circle does not guarantee redemption or commercial outcomes arising from member transactions.


10.1 Redemption Window

Credits must be redeemed within seven (7) days of the Pitch & Connect event where the offer was presented.

This ensures Selling Members have adequate time to deliver services within the fulfilment period.

Credits not redeemed within this period expire and are forfeited.


10.2 Redemption Process

To redeem a Catalyst Credit, the Buying Member must select the relevant offer through the Catalyst Circle platform or approved redemption process.

The Selling Member will receive notification of the redemption and must contact the Buying Member to arrange service delivery.


10.3 Service Fulfilment Period

Selling Members are expected to deliver the redeemed service within sixty (60) days of redemption, unless otherwise agreed between members.

Both members are expected to act in good faith when scheduling service delivery.

Catalyst Circle is not responsible for scheduling disputes between members.


10.4 Scheduling, Cancellations and Non-Attendance

Buying Members must make reasonable efforts to attend scheduled appointments.

If a Buying Member repeatedly cancels or fails to attend appointments, the Selling Member may notify Catalyst Circle.

Catalyst Circle may determine whether the service was reasonably made available and may approve reimbursement at its discretion.

Catalyst Circle is not obligated to reimburse where no genuine service exchange has occurred. The credit system is intended to facilitate an exchange of services between members rather than the transfer of funds without service delivery.

Catalyst Circle may suspend a member’s ability to redeem credits if the system is misused.


10.5 Confirmation of Completion

Once the service has been delivered, the Buying Member must confirm completion through the platform.

Only services confirmed as completed are eligible for reimbursement.


10.6 Reimbursement

Reimbursements are processed at the beginning of each calendar month for services completed during the previous month.

Selling Members must provide accurate payment details.

Catalyst Circle is not responsible for delays caused by incorrect payment information.


10.7 Recipient Created Tax Invoices (RCTIs)

Where Catalyst Circle determines the amount payable, Catalyst Circle may issue a Recipient Created Tax Invoice.

Selling Members agree:

  • not to issue their own invoice

  • to maintain GST registration if required by law

  • to notify Catalyst Circle if GST registration status changes.


10.8 Catalyst Circle Role

Catalyst Circle acts solely as an administrative facilitator.

All services are supplied directly between members.

Catalyst Circle does not act as a merchant, agent, partner, or employer in member transactions.


11. Member Conduct and Respect for Member Relationships

Members must participate in a respectful and collaborative manner.

Members must not intentionally disrupt or interfere with the business relationships, clients, staff, or referral partners of another member.

Catalyst Circle may suspend or terminate membership where conduct damages the integrity of the community.


12. Confidentiality of Member Discussions

Members must treat information shared within Catalyst Circle events or discussions as confidential unless clearly intended for public distribution.

Members must not disclose confidential information shared by other members without consent.


13. Use of Member Directory and Contact Information

Member directories are provided for relationship-building within the community.

Members must not harvest or copy contact information for marketing lists or distribute directory information to third parties.


14. Event Conduct and Safety

Members must conduct themselves respectfully at events.

Catalyst Circle reserves the right to remove individuals from events where behaviour is disruptive or unsafe.

Members remain responsible for the conduct of any guests they bring.


15. No Partnership or Agency

Participation in Catalyst Circle does not create a partnership, joint venture, agency, or employment relationship.

Members operate independent businesses and are responsible for their own services and commercial dealings.


16. Limitation of Liability

To the maximum extent permitted by law, Catalyst Circle’s liability is limited to the membership fees paid within the previous 12 months.

Catalyst Circle is not liable for indirect or consequential losses.

Members indemnify Catalyst Circle against claims arising from member-to-member transactions.


17. Intellectual Property & Media Use

Catalyst Circle materials remain the intellectual property of Catalyst Circle.

Members grant Catalyst Circle a royalty-free licence to use submitted content for promotional purposes unless otherwise agreed.


18. Photography, Data & Privacy

Events may be photographed or recorded.

Attendance constitutes consent to reasonable promotional use of media.

Personal information is handled according to the Catalyst Circle Privacy Policy.


19. Changes to Terms

Catalyst Circle may update these Terms from time to time.

Continued participation constitutes acceptance of the updated Terms.


20. Governing Law & Dispute Resolution

These Terms are governed by the laws of South Australia.

Disputes should first be addressed through good-faith resolution or mediation before legal proceedings.


21. Entire Agreement

These Terms, together with the Members Agreement and any Connector Agreement, constitute the entire agreement between the parties.

By completing your purchase, you confirm that you have read, understood, and agreed to these Terms.
